1. Agreement
These Terms and Conditions form an agreement between Depar Technologies Limited (“Tenga”, “we”, “us”) and the person or organization accessing Tenga (“you”). By creating an account, accepting an invitation, purchasing a subscription or using the service, you agree to these terms and our Privacy Policy.
If you use Tenga for an organization, you confirm that you have authority to accept these terms on its behalf. You must be at least 18 years old or legally capable of entering this agreement.
2. The service
Tenga provides point-of-sale, inventory, customer, supplier, staff, expense, reporting, audit, device-scanning, notification and related business tools. Features and limits may vary by plan, platform, region or release. We may improve, replace or discontinue features, while taking reasonable steps to avoid materially disrupting paid service.
3. Accounts and administrators
You must provide accurate information, protect credentials and promptly report suspected unauthorized use. Organization owners control their workspace, invite or create staff, assign permissions and remain responsible for activity performed under their accounts. Each user should use their own credentials; shared accounts weaken accountability and are discouraged.
You are responsible for ensuring that authorized users and devices are removed when they should no longer have access.
4. Your data and responsibilities
You retain rights in the business information you submit. You give us a limited permission to host, copy, process, transmit and display that information only as needed to operate, secure, support and improve Tenga or comply with law.
You are responsible for the accuracy and legality of your records, obtaining required permissions from customers, staff and suppliers, maintaining appropriate backups or exports, and complying with tax, employment, consumer, privacy and record-keeping obligations applicable to your business.
5. Acceptable use
You may not use Tenga to break the law, infringe another person’s rights, process data without authority, distribute malware, attempt unauthorized access, bypass permissions or plan limits, disrupt the service, reverse engineer protected components, send spam, or misrepresent transactions or identity. You may not use another organization’s data unless authorized.
6. Subscriptions and payments
Current plans, billing periods, included limits and prices are displayed on the Tenga website or during checkout. Purchases and subscription management take place on the web through our payment provider, not through mobile in-app purchasing. Taxes, payment-provider charges or currency conversion may apply as disclosed at checkout.
Unless the checkout terms say otherwise, subscriptions continue for the selected billing period until cancelled. Cancellation stops future renewal but does not ordinarily refund an already-started period. Any required statutory refund rights remain unaffected.
7. Offline operation and synchronization
Some Tenga workflows may continue offline and synchronize later. You must keep devices secure, reconnect them periodically and review synchronization warnings. Conflicts, device loss, prolonged offline operation or unsupported modifications can affect when data becomes current across devices.
8. Availability and support
We aim to provide a reliable service but do not promise uninterrupted or error-free operation. Maintenance, internet failures, provider outages, emergencies or events outside our reasonable control may affect availability. Support can be requested through our Support page.
9. Intellectual property
Tenga, its software, branding, designs, documentation and underlying technology belong to Depar Technologies Limited or its licensors. Subject to these terms and an active entitlement, we grant you a limited, non-exclusive, non-transferable, revocable right to use Tenga for your internal business operations.
10. Suspension and termination
We may restrict or suspend access when reasonably necessary to protect the service or users, investigate misuse, comply with law, address non-payment or enforce these terms. Where practical, we will provide notice and an opportunity to remedy the issue. You may stop using Tenga or request deletion as described in our Account and Data Deletion Policy.
11. Disclaimers and liability
To the extent permitted by law, Tenga is provided “as is” and “as available”. Tenga assists with business record-keeping but is not accounting, tax, legal or financial advice. You remain responsible for verifying transactions, reports, taxes, stock and statutory records.
To the extent permitted by law, neither party will be liable for indirect, incidental, special, punitive or consequential loss, including lost profits, revenue, goodwill or data. Our aggregate liability arising from the service will not exceed the fees paid for Tenga during the twelve months before the event giving rise to the claim. Nothing in these terms excludes liability that cannot lawfully be excluded.
12. Governing law and contact
These terms are governed by the laws of Zambia. The parties will first try in good faith to resolve disputes informally. Courts with appropriate jurisdiction in Zambia may hear unresolved disputes, subject to any mandatory rights available to you.
